• YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR THE USE TO WHICH YOU PUT THIS MRESIDENCE SITE AND ALL THE RESULTS AND INFORMATION YOU OBTAIN FROM IT AND THAT ALL WARRANTIES, CONDITIONS, UNDERTAKINGS, REPRESENTATIONS AND TERMS WHETHER EXPRESSED OR IMPLIED, STATUTORY OR OTHERWISE ARE HEREBY EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW.
• Save in respect of liability for death or personal injury arising out of gross negligence or for fraudulent misrepresentation, we and all of our officers, directors, employees, agents representatives and affiliates hereby disclaim to the fullest extent permitted by law all liability for any loss or damage including any consequential or indirect loss or damage incurred by you, whether arising in tort, contract or otherwise or any other legal theory, and whether or not were are advised of the possibility of such loss or damage, and arising out of or in relation to or in connection with (i) your access to or use of or inability to use this MResidence Site or any failure or relay of the use of any component of the MResidence Site, (ii) errors, mistakes, or inaccuracies of content, (iii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the service, (iv) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (v) any interruption or cessation of transmission to or from the MResidence Site, (vi) any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through the MResidence Site by any third party, (vii) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the MResidence Site and/or (viii) the copying or use of any information, content or material contained in or referred to in this MResidence Site. You specifically acknowledge and waive any claim based on our good faith disabling of access to, or removal of, material or activity which has been claimed to be infringing, or based on facts or circumstances from which infringing activity appears likely, regardless of whether the material or activity is ultimately determined to be infringing.
• To the maximum extent permitted by applicable law, you agree to release, defend (at MResidence’s option), indemnify, and hold MResidence and its affiliates and subsidiaries, including but not limited to, their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Terms, (ii) your improper use of the MResidence Site (iii) your interaction with any officer, director, employee, agent, representative and affiliate of MResidence, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, or (iv) your breach of any laws, regulations or third party rights. The indemnification obligation according to this Section 3.3 only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your culpable breach of a contractual obligation.

• We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under an agreement/contract that is caused by events outside our reasonable control (hereinafter “Force Majeure Event”).
• A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; the decrees, legislation, regulations or restrictions of any government; and pandemic or epidemic.
• Our performance under any agreement or contract is deemed to be suspended for the period of the Force Majeure Event. After the end of the Force Majeure Event, term of the agreement will be extended by the period of the Force Majeure Event. We will use reasonable endeavours to bring the Force Majeure Event to an end or to find a solution by which the MResidence’s obligations under these Terms may be performed despite the Force Majeure Event.

• In order to access and use the MResidence Site or register an MResidence Account (as defined below) you must be an individual at least 18 years old or a duly organized, validly existing business, organization or other legal entity in good standing under the laws of the country you are registered and/or incorporated and able to enter into legally binding contracts.
• You represent and warrant that you are not listed in the appendices of the relevant Decisions/Resolutions of the United Nations Security Council (sanctions) and the Decisions and Regulations of the EU Council (restrictive measures).
• MResidence may make access to and use of the MResidence Site, or certain areas or features of the MResidence Site, subject to certain conditions or requirements, such as making them available only to Members.
• For transparency and fraud prevention purposes, and as permitted by applicable laws, we may (i) ask Members to provide a form of government identification or other information or documentation or undertake additional checks designed to help verify the identities or backgrounds of Members, (ii) screen Members against third party databases or other sources and request reports from service providers, and (iii) where we have sufficient information to identify a Member, obtain reports from public records of criminal convictions or sex offender registrations or an equivalent version of background or registered sex offender checks in your local jurisdiction (if available).
• The access to or use of certain areas and features of the MResidence Site may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions, before you can access the relevant areas or features of the MResidence Site. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the MResidence Site, the latter terms and conditions will take precedence with respect to your access to or use of that area or feature, unless specified otherwise in the latter terms and conditions.

• You must register an account ("MResidence Account") in order to become a Member and to access and use certain features of the MResidence Site, such as save searches of Properties, compare Properties, and save Properties in your Member profile in MResidence Site. If you are registering a MResidence Account for a business, organization or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.
• You can register a MResidence Account using an email address and creating a password, or through your account with certain third-party social networking services, such as Facebook or Google ("SNS Account"). You have the ability to disable the connection between your MResidence Account and your SNS Account at any time via the settings of your SNS Account that you used to register a MResidence Account.
• You must provide accurate, current and complete information during the registration process and keep your MResidence Account information up-to-date at all times.
• You may not assign or otherwise transfer your MResidence Account to another party.
• You are responsible for maintaining the confidentiality and security of your MResidence Account credentials and may not disclose your credentials to any third party. You must immediately notify MResidence if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your MResidence Account. You are liable for any and all activities conducted through your MResidence Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials).

• You are solely responsible for compliance with any and all laws, rules, regulations that may apply to your use of the MResidence Site. In connection with your use of the MResidence Site, you will not and will not assist or enable others to:
  • breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms, and policies;
  • use the MResidence Site or MResidence Content for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies MResidence endorsement, partnership or otherwise misleads others as to your affiliation with MResidence;
  • use the MResidence Site in connection with the distribution of unsolicited commercial messages ("spam");
  • discriminate against or harass the officers, directors, employees, agents and representatives of MResidence or any other Member on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive or disruptive behavior;
  • misuse or abuse any Properties or services associated with MResidence;
  • use, display, mirror or frame the MResidence Site or MResidence Content, or any individual element within the MResidence Site, MResidence's name, any MResidence trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the MResidence Site, without MResidence's express written consent;
  • dilute, tarnish or otherwise harm the MResidence brand in any way, including through unauthorized use of MResidence Content, registering and/or using MResidence or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to MResidence domains, trademarks, taglines, promotional campaigns or MResidence Content;
  • use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the MResidence Site for any purpose;
  • avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by MResidence or any of MResidence 's providers or any other third party to protect the MResidence Site;
  • attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the MResidence Site;
  • take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the MResidence Site;
  • violate or infringe anyone else’s rights or otherwise cause harm to anyone; or
• You acknowledge that MResidence has no general obligation to monitor the activity of a MResidence Account nor to actively seek facts or circumstances indicating illegal activity, but has the right to review, disable access to, or edit any MResidence Account, in order to (i) operate, secure and improve the security of the MResidence Site (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; or (v) as otherwise set forth in these Terms. Members agree to cooperate with and assist MResidence in good faith, and to provide MResidence with such information and take such actions as may be reasonably requested by MResidence with respect to any investigation undertaken by MResidence or a representative of MResidence regarding the use or abuse of the MResidence Site.

• This Agreement shall be effective until such time when you or MResidence terminate the Agreement in accordance with this provision.
• You may terminate this Agreement at any time by sending us an email at [email protected] and request the deletion of your MResidence Account.
• Without limiting our rights specified below, MResidence may terminate your MResidence Account for convenience at any time by giving you thirty (30) days' notice via email to your registered email address accompanied by reasons why MResidence is taking such action.
• MResidence may immediately, without notice, terminate your MResidence Account and/or stop providing access to the MResidence Site if (i) you have materially breached your obligations under these Terms and/or policies, (ii) you have violated applicable laws, regulations or third party rights, or (iii) such action is necessary to protect the personal safety or property of MResidence, its Members, or third parties (for example in the case of fraudulent behavior of a Member).
• In addition, MResidence may take any of the following measures (i) to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, or if (ii) you have breached these Terms, our policies, applicable laws, regulations, or third party rights, (iii) you have provided inaccurate, fraudulent, outdated or incomplete information during the MResidence Account registration or thereafter, (iv) MResidence otherwise becomes aware of or has received complaints about your performance or conduct, or (v) such action is necessary to protect the personal safety or property of MResidence, its Members, or third parties, or to prevent fraud or other illegal activity:
  • limit your access to or use of the MResidence Site;
  • temporarily or in case of severe or repeated offenses permanently suspend your MResidence Account and stop providing access to the MResidence Site.

  In case of non-material breaches and where appropriate, you will be given notice of any intended measure by MResidence and an opportunity to resolve the issue to MResidence's reasonable satisfaction.

• When this Agreement has been terminated, you are not entitled to a restoration of your MResidence Account and associated data. If your access to or use of the MResidence Site has been limited or your MResidence Account has been suspended or this Agreement has been terminated by us, you may not register a new Mresidence Account or access and use the MResidence Site through a MResidence Account of another Member.
• If MResidence takes any of the measures described in this Section 8 you may appeal such a decision by contacting us at [email protected].

• Any content that MResidence itself makes available on or through the MResidence Site, including proprietary MResidence content and any content licensed or authorized for use by or through MResidence from a third party (hereinafter "MResidence Content") belongs or is licensed or authorised for use to MResidence. The MResidence Site and MResidence Content, may in its entirety or in part be protected by copyright, trademark, and/or other laws of Cyprus and other countries. You acknowledge and agree that the MResidence Site and MResidence Content, including all associated intellectual property rights, are the exclusive property of MResidence and/or its licensors or authorizing third-parties.
• You may not make a permanent copy of or reproduce this MResidence Site or any of its contents in any form. You may not reproduce or incorporate this MResidence Site or any of its contents into any other website or mobile application. You may only print or cache temporary copies of the content for your own personal non-commercial use. All other uses are prohibited including, without limitation, distributing, reproducing, modifying or copying or using for commercial purposes any of the materials (hard copy or electronic) or contents of this site particularly photographs, property details, virtual tours and /or floorplans. The licence for non-commercial use does not permit incorporation of the content or any part of the MResidence Site in any other work or publication in any form whatsoever. • You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the MResidence Site and MResidence Content. All trademarks, service marks, logos, trade names, and any other source identifiers of MResidence used on or in connection with the MResidence Site and MResidence Content are trademarks or registered trademarks of MResidence in Cyprus and abroad. Reproduction of these trademarks, service marks, logos, trade names, and any other source identifiers other than in order to view this MResidence is prohibited. Nothing on this MResidence Site should be construed as granting any licence or rights to use or distribute any site content without express written agreement.
• Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the MResidence Site and or MResidence Content are used for identification purposes only and may be the property of their respective owners.

• Except as they may be supplemented by additional terms and conditions, policies, guidelines or standards, these Terms constitute the entire Agreement between MResidence and you pertaining to the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between MResidence and you in relation to the access to and use of the MResidence Site.
• No joint venture, partnership, employment, or agency relationship exists between you and MResidence as a result of this Agreement or your use of the MResidence Site.
• These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.
• If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
• MResidence’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.
• You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without MResidence's prior written consent. MResidence may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement at any time remains unaffected.
• Unless specified otherwise, any notices or other communications to Members permitted or required under this Agreement, will be provided electronically and given by MResidence via email, MResidence Site notification, or messaging service (including SMS).
